These Terms of Service (“Terms”) govern your use of services provided by Adriacom (“we,” “us,” or “our”) through serbiacompanyformation.com. By engaging our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. Please read them carefully before proceeding.

1. Services Provided

1.1 Scope of Services

We provide the following services related to Serbian business formation and ongoing compliance:

  • Company registration services (Preduzetnik/PR and Društvo sa ograničenom odgovornošću/DOO)
  • Tax registration with Serbian Tax Administration
  • Virtual office services
  • Monthly accounting and bookkeeping services
  • Residence permit application assistance
  • Business consultation and advisory services

1.2 Service Limitations

Our services are limited to those explicitly described in your service agreement. We do not provide:

  • Legal advice (we coordinate with licensed Serbian lawyers but are not a law firm)
  • Banking services or guarantees of bank account opening
  • Visa or residency guarantees (we assist with applications only)
  • Tax planning or financial advisory services beyond bookkeeping

2. Client Obligations

2.1 Document Provision

You agree to:

  • Provide all required documents in a timely manner
  • Ensure all documents are accurate, complete, and legally valid
  • Obtain necessary notarizations and apostilles as required
  • Respond to our requests for information within reasonable timeframes

2.2 Accuracy of Information

You warrant that all information provided to us is true, accurate, and complete. You are responsible for any delays or issues resulting from incorrect or incomplete information.

2.3 Compliance with Laws

You agree to use our services only for lawful purposes and to comply with all applicable Serbian and international laws, including but not limited to tax laws, money laundering regulations, and business licensing requirements.

3. Fees and Payment

3.1 Service Fees

Our service fees are as stated on our website or in your service agreement:

  • Freelancer Fast-Track (PR): €1,190
  • Corporate Security Standard (DOO): €1,790
  • Residence Permit Add-On: €590
  • Monthly Accounting: €100-€150/month depending on entity type

3.2 Government Fees

Government fees (typically €100-€200 for company registration) are separate from our service fees and are paid directly to Serbian authorities. These fees are subject to change by the Serbian government.

3.3 Payment Terms

Unless otherwise agreed:

  • 50% payment is due upon signing the service agreement
  • Remaining 50% is due upon completion of company registration
  • Monthly accounting services are billed monthly in advance
  • Payment methods: Bank transfer, credit card, or other agreed methods

3.4 Late Payment

Late payments may result in suspension of services. Interest on overdue amounts may be charged at a rate of 2% per month or the maximum allowed by law, whichever is lower.

3.5 Refund Policy

Refunds are handled on a case-by-case basis. If you cancel services before we begin work, a full refund minus administrative costs (€100) will be provided. Once work has commenced, refunds are prorated based on work completed.

4. Service Timeline

4.1 Estimated Timeframes

Typical service timeframes:

  • Company formation: 10-15 business days from receipt of complete documentation
  • Tax registration: Included in company formation timeline
  • Residence permit assistance: 2-6 months (dependent on government processing times)

4.2 Delays

Timeframes are estimates and may be affected by factors beyond our control, including government processing times, document issues, public holidays, and incomplete information. We are not liable for delays caused by such factors.

5. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, and software, is the property of Adriacom and is protected by copyright and intellectual property laws. You may not:

  • Reproduce, distribute, or create derivative works from our content
  • Use our content for commercial purposes without written permission
  • Remove copyright or proprietary notices

6. Confidentiality

6.1 Our Obligations

We will maintain the confidentiality of all information you provide, except as required by law or as necessary to provide our services (e.g., submitting documents to government authorities).

6.2 Your Obligations

You agree to keep confidential any proprietary information, processes, or methods we share with you during the provision of our services.

7. Limitation of Liability

Important Notice:

To the maximum extent permitted by law, Adriacom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from your use of our services.

Our total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.

7.1 Exclusions

We are not liable for:

  • Rejection of your company registration application by Serbian authorities
  • Denial of residence permits or visas
  • Bank account opening refusals
  • Changes in Serbian laws or regulations affecting your business
  • Business decisions you make based on our administrative services

8. Warranties and Disclaimers

8.1 Our Warranties

We warrant that:

  • Services will be performed with reasonable care and skill
  • We will comply with applicable Serbian laws and regulations
  • We will use licensed professionals where required by law

8.2 Disclaimers

Except as expressly stated in these Terms:

  • Services are provided “as is” without warranties of any kind
  • We do not guarantee specific outcomes or results
  • We are not responsible for third-party service providers (banks, government agencies, etc.)

9. Termination

9.1 Termination by Client

You may terminate our services at any time by providing written notice. Refunds will be processed according to Section 3.5.

9.2 Termination by Us

We may terminate services if:

  • You breach these Terms
  • You fail to provide required documentation or information
  • Payment is overdue by more than 30 days
  • We reasonably believe your activities are illegal or fraudulent

9.3 Effect of Termination

Upon termination, you remain liable for all fees incurred up to the termination date. We will provide you with all documents and work completed to that point.

10. Dispute Resolution

10.1 Informal Resolution

In the event of any dispute, we encourage you to contact us first to seek an informal resolution.

10.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Montenegro, without regard to its conflict of law provisions.

10.3 Jurisdiction

Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of Podgorica, Montenegro.

11. Indemnification

You agree to indemnify and hold harmless Adriacom, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any laws or regulations
  • False or misleading information you provide
  • Your business operations or activities

12. General Provisions

12.1 Entire Agreement

These Terms, together with any service agreement you sign, constitute the entire agreement between you and Adriacom regarding our services.

12.2 Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated “Last Updated” date. Continued use of our services after changes constitutes acceptance of the modified Terms.

12.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

12.6 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, government actions, or natural disasters.
